1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of Forecraft (“Service”), a financial close workflow platform operated by Forecraft (“we,” “us,” or “our”). By creating an account, clicking “I agree,” or using the Service in any way, you agree to be bound by these Terms.

If you are using Forecraft on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” include that entity. These Terms take effect from the date you create an account or first use the Service.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Forecraft is a financial close workflow platform designed for fractional CFOs, CPA firms, and finance advisory teams. The Service provides: monthly close pack generation, variance analysis, AI-assisted narrative and commentary, management pack export, and related workflow features.

Forecraft is not a licensed financial advisor, accountant, investment advisor, or tax professional. All output produced by the Service — including AI-generated analysis, narratives, and variance reports — is for informational and workflow purposes only. You are solely responsible for your financial decisions and for verifying all figures, calculations, and statements before using them for any purpose, including delivering them to clients.

Regarding AI-generated content specifically: Forecraft uses artificial intelligence to generate narrative text and analysis. AI systems can produce errors, omissions, or outputs that appear plausible but are incorrect. You must review and verify all AI-generated content before sending it to clients or using it in any professional context. Forecraft is not responsible for errors in AI-generated content that you do not catch upon review.

3. Account Registration

To use the Service you must create an account. You agree to:

Provide accurate, complete, and current information when registering.
Maintain the security of your account credentials and not share them with others.
Notify us immediately at security@forecraft.tech if you suspect unauthorized access to your account.
Be responsible for all activity that occurs under your account.
Maintain only one account per person (no account sharing or pooling).
Be at least 18 years old. The Service is not directed to minors.

We reserve the right to refuse registration or to suspend accounts that we believe violate these Terms or that present a security risk.

4. Subscription and Payment

Forecraft is offered on a subscription basis. Current plans and pricing are shown on our pricing page. By subscribing, you authorize Forecraft (through our payment processor, Stripe) to charge your payment method on a recurring basis at the selected interval (monthly or annual) until you cancel.

Auto-renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time from your account settings; cancellation takes effect at the end of the current paid period.

Refunds

Fees are non-refundable except as required by applicable law or as otherwise expressly stated in a written offer from Forecraft (such as a limited-time commercial guarantee communicated separately). Partial-month fees are not refunded upon cancellation.

Price changes

We may change subscription prices. We will give you at least 30 days’ notice of any price increase by email or in-app notification. Continued use of the Service after the price change takes effect constitutes acceptance of the new price.

Failed payments

If a payment fails, we will retry the charge and notify you by email. After a 7-day grace period, your account may be downgraded to a free or restricted plan until the outstanding amount is resolved.

Taxes

Prices are exclusive of applicable taxes. You are responsible for all taxes associated with your purchase, except for taxes based on our income.

5. Client Data

You own your data.You retain all right, title, and interest in and to the financial data, files, and content you upload to Forecraft (“Client Data”). By uploading Client Data, you grant us a limited, non-exclusive license to process it solely to provide the Service to you.

Your authorization responsibility.You represent and warrant that you have the legal right and necessary consents and authorizations to upload your clients’ financial data to the Service. You are solely responsible for ensuring that your use of the Service complies with your obligations to your own clients, including any applicable engagement letter, confidentiality agreement, or data privacy requirements.

How we handle Client Data. Forecraft processes Client Data only on your instructions, to provide the Service. We do not:

Sell Client Data to any third party.
Use Client Data to train AI models (Forecraft’s or anyone else’s).
Access Client Data except to provide the Service or as required by law.
Share Client Data with third parties except as described in our Privacy Policy.

Data retention. After account cancellation or termination, Client Data is retained for 30 days to allow export, then permanently deleted. You may request immediate deletion at any time by contacting privacy@forecraft.tech.

6. Acceptable Use

You agree to use Forecraft only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You agree not to:

Upload financial data that is fabricated, falsified, or fraudulent.
Use the Service to create misleading reports intended to deceive clients, investors, lenders, or regulatory bodies.
Attempt to access, query, or extract data from other users’ workspaces.
Reverse-engineer, decompile, or attempt to extract the source code of the Service.
Automate scraping, bulk downloading, or systematic extraction of Service content.
Resell or sublicense access to the Service without an authorized reseller agreement.
Share your account credentials with others.
Violate any applicable laws or regulations, including financial, privacy, or securities laws.

Violation of the Acceptable Use Policy may result in immediate account termination without refund.

7. Intellectual Property

The Service, including its software, design, branding, and all Forecraft-created content, is owned by Forecraft and protected by applicable intellectual property laws.

Your uploaded data and generated packs. You own all data you upload and all management packs, reports, and exports you generate using the Service.

AI-generated narratives. Forecraft grants you a perpetual, worldwide, royalty-free license to use AI-generated narrative text and analysis for your intended commercial purpose — including delivering them to clients as part of your professional services — without restriction. You are responsible for reviewing AI output before use.

Usage data. Forecraft may use anonymized, aggregated statistics derived from how users interact with the Service (e.g., feature usage patterns, performance metrics) to improve the Service. This data does not include any Client Data or personally identifiable financial information.

Feedback. If you provide us with feedback or suggestions, we may use them to improve the Service without any obligation or compensation to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, error-free, or secure at all times.
AI-generated analysis, narratives, or output will be accurate or complete.
Data from third-party integrations (QuickBooks, Xero) will be accurate or timely.
The Service will meet your specific requirements or expectations.

Forecraft is a workflow tool, not a licensed financial or accounting service. You must independently verify all figures, calculations, and professional judgments before acting on them or sending them to clients.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORECRAFT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO FORECRAFT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

In particular, and without limiting the above:

Forecraft is not liable for any errors in AI-generated content that you did not catch upon review before sending to clients.
Forecraft is not liable for the accuracy of data pulled from third-party integrations.
Forecraft is not liable for any professional liability arising from your use of Service output in client-facing work.

10. Indemnification

You agree to defend, indemnify, and hold harmless Forecraft and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your use of or access to the Service.
Your Client Data or your clients’ financial data that you upload.
Your violation of these Terms.
Your violation of any third-party rights, including privacy rights.
Any professional liability claim arising from your use of Service output.

11. Termination

By you. You may close your account at any time from your account settings. Access continues until the end of your current paid period.

By Forecraft. We may suspend or terminate your access to the Service:

Immediately, if you violate these Terms or our Acceptable Use Policy.
With 30 days’ written notice, for any reason not related to a violation.
Immediately, if we believe your use poses a security, legal, or reputational risk.

Effect of termination. On termination, your access to the Service ceases. Your Client Data will be available for export for 30 days after termination, after which it will be permanently deleted. If we terminate for cause, we may not provide a data export period. Outstanding payment obligations survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the state or federal courts located in the State of Arizona. You waive any objection to jurisdiction or venue in such courts.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes:

By email to the address associated with your account, at least 30 days in advance.
By displaying a notice within the Service.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not accept the new Terms, you must stop using the Service and cancel your account before the effective date.
